1. Agreement to Terms

By accessing or using DueTick ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including business owners, administrators, and any other users who access the Service.

2. Description of Service

DueTick is a payment reminder service that helps subscription-based businesses automate their payment collection process. The Service includes:

Automated WhatsApp payment reminder messages sent to your customers
Member/customer management dashboard
Payment tracking and history
Business reports and analytics
Mobile application for on-the-go management
Optional integration with your own WhatsApp Business number

3. Account Registration

To use the Service, you must:

Be at least 18 years of age
Provide accurate, complete, and current registration information
Maintain the security of your account credentials
Promptly update your account information if it changes
Accept responsibility for all activities that occur under your account

You must not share your account credentials with others or allow others to access your account. You are responsible for notifying us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service for any illegal or unauthorized purpose
Send spam, unsolicited messages, or messages unrelated to payment reminders
Add customers to the Service without their consent to receive WhatsApp messages
Violate any applicable laws, regulations, or third-party rights
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the Service or servers connected to the Service
Use the Service to transmit harmful, offensive, or objectionable content
Reverse engineer, decompile, or disassemble any part of the Service
Use automated systems or bots to access the Service without permission
Resell or redistribute the Service without authorization

5. WhatsApp Business Policy Compliance

The Service uses Meta's WhatsApp Business Cloud API. By using the Service, you agree to comply with:

You are responsible for obtaining proper consent from your customers before sending them messages through the Service. Failure to comply with WhatsApp's policies may result in suspension of messaging capabilities or termination of your account.

6. Customer Consent and Data Responsibility

You represent and warrant that:

You have obtained valid consent from each customer before adding them to the Service
Your customers have agreed to receive WhatsApp messages regarding payment reminders
You will honor opt-out requests from your customers promptly
You have the legal right to share your customers' contact information with the Service
You will comply with all applicable data protection and privacy laws
You are the data controller for your customers' information and we act as a data processor on your behalf

7. Subscription and Payment

7.1 Free Trial

New users may be eligible for a free trial period. The duration and terms of the free trial will be specified at the time of registration. No payment information is required during the trial period.

7.2 Paid Subscriptions

After the trial period, continued use of the Service requires a paid subscription. Subscription plans, pricing, and features are available on our website and may be updated from time to time.

7.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually)
You authorize us to charge your payment method for all applicable fees
If payment fails, we may suspend access to the Service until payment is received
All fees are non-refundable unless otherwise stated

7.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

8. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice when possible)
Unscheduled maintenance or emergency repairs
Issues with third-party services (including WhatsApp/Meta)
Events beyond our reasonable control

9. Intellectual Property

The Service and its original content, features, and functionality are owned by DueTick and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all data and content you submit to the Service. By using the Service, you grant us a limited license to use, process, and store your data solely for the purpose of providing the Service to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not guarantee message delivery, as this depends on third-party services including WhatsApp.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUETICK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless DueTick and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your customers.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

Your right to use the Service will immediately cease
We may delete your account and all associated data
Any outstanding fees will become immediately due
Provisions that by their nature should survive termination will survive

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
